Synwolf is dedicated to delivering a wide range of creative services, including but not limited to graphic design, brand development, website design and development, and marketing strategy. We strive to meet the unique needs and expectations of our clients through innovative and personalized solutions. While we make every effort to maintain the availability and reliability of our services, we may, at our discretion, introduce new features, enhance existing services, or discontinue certain offerings. Any significant changes will be communicated to clients in advance.

 

  1. Payment and Billing

Clients engaging with Synwolf’s services will receive detailed invoices that provide a breakdown of the scope of work, associated fees, and payment terms. Payments are typically expected within a specified timeframe, as indicated on the invoice. Late payments may incur additional charges, and failure to settle outstanding invoices may result in the temporary suspension of services until payment is received. Our billing department is available to address any questions or concerns related to invoicing and payments.

 

  1. Intellectual Property

Synwolf acknowledges the importance of intellectual property rights. Throughout the course of our collaboration, clients retain ownership of their specific content, data, and materials provided to us for the purpose of delivering services. However, Synwolf retains ownership of the broader intellectual property related to the design concepts, methodologies, and tools developed during the course of our engagement, unless otherwise agreed upon in writing.

 

Clients are granted a non-exclusive, non-transferable license to use the deliverables for their intended purpose. Unauthorized use, reproduction, or distribution of any intellectual property owned by Synwolf is strictly prohibited and may result in legal action.

 

  1. Termination of Services

Synwolf reserves the right to terminate or suspend services if clients breach any terms outlined in this agreement. In the event of termination, clients are responsible for settling any outstanding payments for completed work. Synwolf will make reasonable efforts to provide notice of termination, and clients are expected to promptly return any materials or information provided by Synwolf.

 

  1. Limitation of Liability

While Synwolf is committed to delivering high-quality services, we do not guarantee the continuous availability or error-free operation of our offerings. We shall not be held liable for any direct, indirect, incidental, special, or consequential damages arising from the use or inability to use our services. Clients are encouraged to review our service agreements carefully and seek clarification on any concerns.

 

  1. Governing Law

These terms and conditions are governed by the laws of [Jurisdiction]. Any disputes or legal proceedings arising from or related to these terms shall be exclusively subject to the jurisdiction of the courts of [Jurisdiction].

We commit to not disclosing, sharing, or using this information for any purpose other than fulfilling the agreed-upon services, without the explicit written consent of the client. This commitment extends to our team members and subcontractors who may be involved in the project.

 

  1. Dispute Resolution

In the event of any disputes or disagreements arising from the provision of services, both parties agree to engage in good faith negotiations to reach a resolution. If a resolution cannot be reached through negotiation, the parties may pursue alternative dispute resolution methods, such as mediation or arbitration, as agreed upon by both parties. Litigation will be considered only if alternative dispute resolution methods fail to provide a satisfactory resolution.

 

  1. Force Majeure

Synwolf shall not be liable for any failure or delay in the performance of its obligations under these terms and conditions if such failure or delay is due to events beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or government actions.

 

  1. Communication

Effective communication is crucial for the success of our collaboration. Clients are encouraged to promptly respond to communications from Synwolf, especially regarding project milestones, approvals, and feedback. Timely communication ensures the smooth progress of projects and helps us deliver high-quality results.

 

  1. Severability

If any provision of these terms and conditions is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue to be valid and enforceable to the fullest extent permitted by law. The parties agree to replace the invalid provision with a valid provision that most closely aligns with the original intent of the agreement.

 

  1. Entire Agreement

These terms and conditions constitute the entire agreement between Synwolf and the client, superseding any prior agreements or understandings, whether written or oral. Any modifications or amendments to these terms must be in writing and agreed upon by both parties.
